Hereinafter referred to as: “BALETTO”

And: Any person making a purchase on the website www.baletto.com

Hereinafter referred to as: “The CLIENT”

The CLIENT declares that they have the legal capacity to enter into this contract, i.e. they are of legal age and not under guardianship. By placing an order, the CLIENT irrevocably agrees to these general terms and conditions of sale. The sales contract is subject to French law.

1. Validity of Offers

Offers are intended exclusively for consumers with a delivery address in countries where BALETTO provides delivery through a transport service provider.

The products presented on the website are available while stocks last.

In the event of a charge or payment made for an item that is unavailable, BALETTO undertakes to refund the CLIENT within 20 days. BALETTO also agrees to notify the CLIENT by email if they have placed an order for an unavailable item.

2. Product Presentation

The products offered for sale are described and presented as accurately as possible. However, if errors or omissions may have occurred in this presentation, BALETTO shall not be held liable.

The photographs representing our products are for illustrative purposes only. These photos, as well as the descriptive texts, are non-contractual.

Due to supplier-related changes, BALETTO may deliver to the CLIENT an item with a slightly different composition than described, but in all cases of equal or superior quality to the item ordered.

3. Prices

The prices displayed on the website or online store are understood as follows:

• VAT included (all taxes included) for CLIENTS who provide a delivery address within the European Union

• VAT excluded (excluding taxes) for CLIENTS who provide a delivery address outside the European Union

Prices do not include the flat-rate contribution to shipping costs, which remains the responsibility of the CLIENT, except in the case of a temporary or permanent promotional offer.

Prices are guaranteed subject to typographical or printing errors. They may be changed at any time without notice, especially in the event of changes to tax or economic data. Items will be invoiced based on the rates in effect at the time the order is recorded.

4. Payment Methods

BALETTO accepts the following payment methods: Carte Bleue, Visa, MasterCard, American Express, PayPal. For certain countries, in addition to the aforementioned payment methods, BALETTO accepts specific local payment methods, which will be offered to the CLIENT at the time of payment.

In France, Germany, Belgium, Spain, and Italy, payment facilities are also available.

BALETTO does not accept payments by check or bank transfer.

5. Retention of Ownership

BALETTO retains ownership of the goods until full payment of the purchase price by the buyer. This right of reclamation applies both to the goods themselves and to their price if they have already been resold (Law of May 12, 1980).

6. Acceptance of the Offer

Any order constitutes an express and irrevocable acceptance of the prices and product descriptions available for sale. Order validation by the CLIENT constitutes acceptance of the general terms and conditions of sale.

7. Invoice

The invoice is sent to the email address provided at the time of the order and is also available in the “My Account” section of the website. It is issued in accordance with the pricing in effect on the date the order is placed. BALETTO shall not be held liable for any data entry errors.

9. Obligations of the Parties

In the event that an order is accepted, BALETTO undertakes to sell and deliver to the CLIENT the product(s) ordered, in accordance with the conditions specified above.

BALETTO undertakes to ensure that its products comply with French regulations.

The CLIENT agrees to provide BALETTO with an address where delivery can be made. Providing personal information (name, address, telephone number, email address, etc.) for the purpose of concluding the sales contract is mandatory. This information is essential for processing and shipping orders and issuing invoices. Failure to provide this information will result in the order not being validated. In the event of an error in the provision of this information, BALETTO cannot be held responsible for the inability to deliver the product. In such cases, the CLIENT remains responsible for payment. If an incomplete address is provided, making delivery by the carrier impossible, the CLIENT will be responsible for the shipping costs of re-dispatching the order.

10. Warranty

All our products are covered under the legal warranty, provided they have been used under normal conditions and that the care instructions indicated on our website have been followed.

Article L211-4 of the French Consumer Code

The seller is required to deliver goods that conform to the contract and is liable for any lack of conformity existing at the time of delivery.

The seller is also liable for any lack of conformity resulting from the packaging, assembly instructions, or installation if this was made their responsibility by the contract or was carried out under their responsibility.

Article L211-5 of the French Consumer Code

To comply with the contract, the product must:

1. Be suitable for the purpose usually expected of similar goods and, where applicable:

- Match the description given by the seller and possess the qualities that the seller presented to the buyer in the form of a sample or model.

-Present the qualities that a buyer may reasonably expect in light of public statements made by the seller, the producer, or their representative, particularly in advertising or labeling.

2. Or have the characteristics agreed upon by both parties, or be suitable for any special use sought by the buyer, brought to the seller’s attention and accepted by them.

Article L211-9 of the French Consumer Code

In the event of a lack of conformity, the buyer may choose between having the goods repaired or replaced.

However, the seller may opt for the alternative solution if the buyer’s choice entails a cost that is clearly disproportionate to the other option, considering the value of the goods or the significance of the defect. In such cases, the seller is required to proceed with the less costly option, unless it is impossible to do so.

Article L211-10 of the French Consumer Code

If repair and replacement are impossible, the buyer may return the goods and receive a refund, or keep the goods and receive a partial refund.

This same option is available:

- If the solution requested, proposed, or agreed upon under Article L211-9 cannot be implemented within one month of the buyer’s complaint

- Or if that solution would cause major inconvenience to the buyer, considering the nature of the goods and the intended use.

The cancellation of the sale cannot, however, be declared if the lack of conformity is minor.

Article L211-11 of the French Consumer Code

The application of Articles L211-9 and L211-10 is carried out at no cost to the Buyer.

These provisions do not prevent the Buyer from seeking compensation for damages.

Article L211-12 of the French Consumer Code

Legal action resulting from a lack of conformity must be initiated within two years from the date of delivery of the goods.

Article 1641 of the French Civil Code

The seller is liable for hidden defects in the item sold that render it unfit for its intended use, or that so diminish its use that the buyer would not have purchased it, or would have paid a lower price, had they known about the defects.

Article 1648 paragraph 1 of the French Civil Code

Legal action arising from latent defects must be initiated by the buyer within two years from the date the defect was discovered.

11. Personal Data

The collection of the CLIENT’s personal data is necessary for processing the order. This information is strictly confidential and intended solely for BALETTO’s use. In accordance with the French Data Protection Act of January 6, 1978, the CLIENT has the right to access, modify, correct, and delete their personal data. To exercise this right, the CLIENT simply needs to write to BALETTO, providing their full name and address.

BALETTO reserves the right to collect data on the CLIENT through the use of cookies to improve the personalized service offered to the user.

13. Liability

BALETTO cannot be held liable for any inconvenience or damage related to the use of the Internet network, including but not limited to service interruptions, the presence of computer viruses or external intrusions, or more generally any cases qualified as force majeure by the courts.

14. Miscellaneous Provisions

The invalidity or unenforceability of any clause of these general terms and conditions of sale or specific conditions shall not affect the application or validity of the other clauses of the general terms and conditions of sale. Such clause shall be replaced by the provision closest in meaning.

Neither BALETTO nor the CLIENT can be held responsible for contractual non-performance resulting from a force majeure event, including but not limited to war, riots, insurrection, transport interruptions, import problems, strikes, shortages, fire, earthquake, storm, or flooding. 16. Applicable Law and Jurisdiction

These general terms and conditions of sale are governed exclusively by French law.

The Commercial Courts of Paris (France) have exclusive jurisdiction in the event of any dispute or disagreement concerning them.
